Corporate Paralegal

Job Description
The ideal candidate should have experience and a strong understanding of paralegal duties in corporate and financial transactions. Responsibilities include, but are not limited to:
- Drafting ancillary transaction documents such as resolutions, certificates, entity formation documents, state filings, and other governance materials.
- Coordinating due diligence activities, including organizing documents and records, managing virtual data sites for transactions, preparing closing documents, and handling closing and post-closing requirements.
- Preparing and maintaining transaction timetables and checklists.
- Conducting online UCC, corporate, and court records searches.
- Preparing and filing UCC financing statements.
- Assisting with federal and state business licensing matters.
- Supporting all aspects of final transaction closings.
